Terms & Conditions
Effective date: 1 June 2026
The following terms govern every engagement between Arté Works and its clients. Acceptance of a proposal from Arté Works constitutes acceptance of these terms in full.
1. Engagement & Sole Delivery
Arté Works is a sole proprietorship operated and delivered by a single individual who personally performs analysis, design, development, testing and delivery. No third party, subcontractor or intermediary is involved in implementation. Once a proposal is signed, it, together with these terms, forms the binding agreement between Arté Works and the client.
2. Commencement
A project is deemed to have started upon receipt of the advance payment and/or written confirmation to begin, whichever is earlier. Once started, the project cannot be stopped or paused at will, the engagement is a committed undertaking through to delivery.
3. Payments
- Payments follow the milestone schedule stated in the project proposal
- Invoices are payable within 7 days of issue
- Work on a subsequent phase may be paused until the due payment for the completed phase is received
- All amounts are in Indian Rupees, exclusive of applicable taxes
- Currency conversion, bank and remittance charges are borne by the client
4. Client Inputs & Delays
Clients will provide all required details, documents, sample data, branding assets, approvals and decisions in a timely manner. If a client is late in providing required inputs, Arté Works is not responsible for any resulting delay, and the timeline is extended accordingly without penalty to Arté Works.
5. Communication & Record-Keeping
All changes, updates, approvals and instructions must be confirmed through email, in addition to any verbal or chat discussion, to maintain a clear written record. An instruction or change request is acted upon only once it has been confirmed in writing by email.
6. Scope & New Work
The scope of each engagement is defined in the relevant proposal. Anything outside it, new features, modules, documents, reports or significant changes, is treated as new work, quoted and charged separately before it begins. Third-party and infrastructure costs are excluded from project fees unless explicitly stated otherwise.
7. Intellectual Property
On receipt of full and final payment, ownership of the custom source code developed specifically for the client transfers to that client. Third-party libraries and components remain under their own respective licences. Arté Works may retain general knowledge, techniques and non-client-specific components for reuse in future work.
8. Warranty & Liability
Defects within the delivered scope are corrected free of charge during the complimentary support period specified in the proposal. Arté Works is not liable for issues arising from third-party services, infrastructure, client changes to the system after handover, or misuse. To the extent permitted by law, total liability is limited to the fees paid for the project. Arté Works is not liable for delays or failures caused by events beyond its reasonable control.
9. Confidentiality
Each party keeps the other's confidential information private. Arté Works' handling of client data and credentials is governed by the Privacy Policy.
10. Governing Law
These terms are governed by the laws of India. The courts at Trichy (Tiruchirappalli), Tamil Nadu, India have jurisdiction over any dispute arising from an engagement with Arté Works.
